TEAMPRISE MAINTENANCE PLAN
Teamprise offers a software upgrade subscription plan ("Maintenance Plan") for its Teamprise Client Suite ("Software") to Customer as set forth in this agreement. Customer agrees to purchase the Maintenance Plan as set forth in Section 1.2.
1.1 Upgrades and Enhancements. Teamprise shall make available to Customer, via its website, all Product Upgrades to the Software released during the term of this agreement.
1.2 Annual Fee. Teamprise will provide Product Upgrades to Customer during the initial year in exchange for a fee of 25% of the net Software license fee. Thereafter, Teamprise shall invoice Customer annually ("Annual Invoice") for 25% of the net Software license fee. Annual purchase of a Maintenance Plan beyond the first year shall be at the sole discretion of the Customer.
1.3 Term. The initial term of this agreement shall be the 12-month period ending on the first anniversary of the Software purchase date. This agreement will renew each year if the Customer pays the Annual Invoice.
1.4 Early Termination. Teamprise may terminate this agreement by providing Customer at least 90 days' prior written notice. In event of termination, Teamprise shall refund to Customer a pro rated amount of Customer's prepaid, unused Annual Fee within 90 days of Customer's termination notice.
